These Terms of Service (“Terms”) govern your access to and use of the MPG Site Records mobile application and any related services, systems or features made available through it (together, the “App”).

The App is provided by My Project Group Ltd, a company registered in England and Wales (“MPG”, “we”, “us” or “our”).

By downloading, accessing, registering for or using the App, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the App.

The App is a private business and site-management tool intended for authorised:

• employees;
• workers;
• apprentices;
• subcontractors;
• consultants;
• site managers;
• project managers; and
• other individuals approved by MPG.

Access is granted solely at MPG’s discretion and requires an authorised user account.

You must be at least 16 years old and legally capable of agreeing to these Terms. Anyone under the age of 18 must only use the App where their engagement with MPG and their use of the App are lawful and appropriately supervised.

You may not allow another person to access the App using your account.

You are responsible for:

• keeping your username, password, security code and other login credentials confidential;
• all activity carried out through your account;
• providing accurate and complete information;
• keeping your account information up to date; and
• securing any device used to access the App.

You must notify MPG immediately if you believe that:

• your account has been accessed without permission;
• your login details have been lost, disclosed or compromised;
• information held in your account is inaccurate; or
• the security of the App may have been affected.

MPG may suspend, restrict or terminate your access at any time, including where:

• your employment, subcontract or other engagement with MPG ends;
• your role no longer requires access;
• you breach these Terms or another MPG policy;
• MPG suspects fraudulent, unlawful or unauthorised activity;
• information submitted through your account is false or misleading; or
• suspension is reasonably required to protect MPG, its clients, its projects, its systems or other users.

Access to the App does not create or imply any right to continued employment, work, engagement or access.

You must use the App only for legitimate MPG work, site-management, record-keeping, invoicing, payment and business-administration purposes.

You must not:

• upload false, misleading, fraudulent, incomplete or unlawful information;
• falsify site records, attendance records, timesheets, invoices, receipts, expenses, photographs, signatures or completion records;
• record hours that were not worked or expenses that were not genuinely incurred;
• submit records on behalf of another person without authorisation;
• use another person’s account or allow another person to use yours;
• access or attempt to access information relating to another user, project, client, site or company unless authorised;
• upload confidential information unrelated to MPG’s business;
• upload material that is unlawful, threatening, abusive, discriminatory, offensive, defamatory or infringing;
• upload malicious software, viruses or harmful code;
• interfere with or disrupt the App, its servers, databases or security systems;
• bypass or attempt to bypass access controls;
• copy, scrape, reverse engineer, decompile or attempt to discover the App’s source code, except where such restriction is prohibited by law;
• use automated systems to access or extract information without MPG’s written permission; or
• use the App for any unlawful or unauthorised purpose.

Suspected fraudulent or unlawful activity may be investigated and, where appropriate, reported to the relevant authorities or professional advisers.

The App may be used to record information including:

• attendance and working hours;
• site arrival and departure;
• tasks and work completed;
• project progress;
• photographs and videos;
• materials purchased or used;
• receipts and expenses;
• invoices and timesheets;
• snagging and remedial work;
• health and safety information;
• site instructions;
• signatures and approvals; and
• communications relating to MPG projects.

You are responsible for ensuring that all information you enter is accurate, complete and submitted promptly.

You must not knowingly omit information where doing so would make a record misleading.

Where the App allows information to be edited, MPG may retain previous versions, timestamps, audit records and details of amendments.

Information submitted through the App may be used as a business record when reviewing:

• attendance;
• work completed;
• performance;
• quality;
• health and safety compliance;
• invoices;
• expenses;
• payment entitlement;
• variations;
• disputes; and
• compliance with employment, subcontract or project requirements.

Using the App does not replace your responsibility to report urgent site, safety, quality or safeguarding concerns directly to the appropriate MPG manager.

You must only upload photographs, videos, documents or other information that you are authorised to capture and submit.

When taking site photographs, you must take reasonable care not to unnecessarily capture:

• members of the public;
• children;
• neighbouring properties;
• private documents;
• vehicle registration details;
• security systems;
• personal belongings; or
• confidential client information.

You must comply with all site rules concerning photography, privacy, security and confidentiality.

Site photographs and records may be used by MPG for project administration, quality control, evidence of progress, payment assessment, health and safety, client reporting, dispute resolution, training, insurance and record-keeping.

MPG will not use identifiable site photographs for public advertising or marketing unless it has an appropriate lawful basis or permission to do so.

You retain any ownership rights you may have in original content that you submit through the App.

By submitting content, you grant MPG a non-exclusive, worldwide, royalty-free licence to store, copy, process, analyse, reproduce, display and otherwise use that content where reasonably necessary to:

• operate and improve the App;
• manage MPG’s business;
• administer projects and sites;
• review work and attendance;
• assess and approve timesheets, invoices and expenses;
• communicate with clients, suppliers, subcontractors and professional advisers;
• maintain project, accounting, legal, insurance and compliance records;
• investigate complaints or disputes; and
• comply with legal and regulatory obligations.

This licence continues for as long as MPG reasonably needs to retain the relevant records, including after your access to the App has ended.

You confirm that you have the necessary rights and permissions to submit any content uploaded through your account.

MPG processes personal data in accordance with its Privacy Policy and applicable data-protection law.

Depending on the features used, the App may process information including:

• your name and contact details;
• account and authentication information;
• role and employment or subcontract details;
• working hours and attendance;
• site and project assignments;
• invoices, payment details and expense records;
• photographs, videos and documents;
• device, security and technical information; and
• communications and activity within the App.

Where enabled and disclosed in the Privacy Policy, the App may also use device information or location-related data to support attendance, site verification, security or project administration.

You must not use the App to upload unnecessary personal information or highly sensitive information unless this is required for an authorised business purpose.

The Privacy Policy explains in more detail how MPG collects, uses, shares, protects and retains personal data and how individuals may exercise their data-protection rights.

The App may integrate with or rely upon third-party services, including:

• Xero, for accounting and invoice-processing functions;
• OpenAI, for AI-assisted document, receipt or data-processing features;
• Supabase, for data storage, database, authentication and related technical services;
• cloud hosting and security providers;
• email or notification providers; and
• other services required to operate the App.

When you use a feature that relies on a third-party provider, relevant information may be securely transmitted to and processed by that provider.

For example, where AI-assisted receipt scanning is used, a receipt image and related information may be sent to an AI service for processing.

Third-party services may be subject to their own terms, privacy notices and availability arrangements.

Although MPG takes reasonable steps when selecting and managing service providers, MPG does not control and cannot guarantee the uninterrupted availability or performance of third-party systems.

The App may use artificial intelligence or automated processing to assist with tasks such as:

• reading receipts and invoices;
• extracting document information;
• categorising expenses;
• creating summaries;
• identifying missing information;
• suggesting descriptions; and
• assisting with administrative records.

AI-generated or automatically extracted information may be incomplete, inaccurate or incorrectly interpreted.

You remain responsible for checking all information before submitting, approving or relying upon it.

AI output does not constitute final approval, accounting advice, legal advice, tax advice, health and safety advice or professional certification.

MPG may require records to be manually reviewed and corrected before they are accepted.

The App may be used to prepare, submit, review and process:

• timesheets;
• invoices;
• receipts;
• expenses;
• material costs; and
• other payment-related records.

Submitting information through the App does not, by itself:

• confirm that the information is accurate;
• constitute approval by MPG;
• create an entitlement to payment;
• confirm acceptance of work;
• waive any defect, countercharge or set-off;
• vary an existing employment or subcontract agreement; or
• guarantee payment by a particular date.

All submissions remain subject to:

• MPG’s review and approval;
• verification of attendance and work completed;
• satisfactory completion and sign-off;
• the applicable invoice deadline;
• MPG’s normal payment procedures;
• CIS deductions where applicable;
• tax and National Insurance requirements where applicable;
• agreed retention, countercharges, deductions or set-off rights;
• correction of defective or incomplete work; and
• the terms of the user’s employment, apprenticeship, subcontract or other engagement.

Where there is a conflict between these Terms and a signed employment, subcontract or project agreement, the signed agreement will normally take priority in relation to the specific engagement, unless the agreement states otherwise.

Information available through the App may include confidential and commercially sensitive information belonging to MPG, its clients, suppliers, subcontractors or professional advisers.

You must:

• keep such information confidential;
• use it only for authorised MPG purposes;
• not copy or disclose it without permission;
• take reasonable steps to protect it from loss or unauthorised access; and
• immediately report any suspected loss, disclosure or security breach.

Your confidentiality obligations continue after your access to the App or engagement with MPG ends.

The App and its associated:

• software;
• source code;
• functionality;
• design;
• layout;
• branding;
• logos;
• databases;
• workflows;
• templates;
• text; and
• MPG-created content

are owned by or licensed to My Project Group Ltd and are protected by intellectual-property laws.

Except for the limited right to use the App for authorised MPG purposes, no intellectual-property rights are transferred to you.

You must not copy, modify, distribute, sell, license, publish, reproduce or create derivative works from any part of the App without MPG’s prior written permission.

MPG aims to keep the App reasonably available and reliable but does not guarantee that it will always be available, uninterrupted, secure or error-free.

The App may be unavailable because of:

• maintenance;
• updates;
• technical failures;
• internet or mobile-network problems;
• third-party service outages;
• security incidents; or
• circumstances outside MPG’s reasonable control.

MPG may update, modify, replace, restrict, suspend or withdraw any part of the App at any time.

Where the App is temporarily unavailable, users must follow any alternative reporting or record-keeping process communicated by MPG.

The App is provided on an “as is” and “as available” basis to the fullest extent permitted by law.

MPG does not guarantee that:

• the App will meet every user’s requirements;
• all information will be preserved without interruption;
• calculations or automated results will always be accurate;
• AI-generated information will be complete or error-free;
• the App will be compatible with every device; or
• faults will always be corrected immediately.

You are responsible for reviewing records, calculations, timesheets, invoices, expenses and AI-generated information before relying upon or submitting them.

Nothing in the App replaces the need to follow site instructions, construction drawings, specifications, method statements, risk assessments, manufacturer instructions or applicable legal and professional requirements.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:

• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation; or
• any other liability that cannot legally be excluded or limited.

Subject to the above and to the fullest extent permitted by law, MPG will not be liable for any indirect, incidental, special or consequential loss arising from use of, or inability to use, the App.

This includes loss of:

• profits;
• revenue;
• business opportunities;
• anticipated savings;
• goodwill;
• contracts; or
• data.

MPG will not be responsible for loss arising from:

• inaccurate information entered by a user;
• a user’s failure to check AI-generated or automatically extracted information;
• unauthorised access caused by a user failing to protect their login details or device;
• third-party service failures;
• internet or mobile-network failures; or
• use of the App in breach of these Terms.

Nothing in these Terms affects any rights or liabilities that cannot lawfully be excluded.

MPG may suspend or terminate your access immediately, with or without notice, where reasonably necessary.

Your right to use the App will normally end when:

• your employment ends;
• your apprenticeship ends;
• your subcontract or consultancy arrangement ends;
• you are removed from an MPG project;
• your account is no longer required; or
• MPG withdraws the App.

On termination:

• you must stop using the App;
• you must not attempt to regain access without authorisation;
• MPG may disable or delete your account; and
• MPG may retain business and personal records where reasonably necessary for legal, accounting, contractual, insurance, dispute-resolution or regulatory purposes.

Termination of access does not remove any payment, confidentiality, intellectual-property, data-protection or other obligations that are intended to continue.

These Terms govern access to and use of the App only.

They do not create an employment relationship, worker relationship, partnership, joint venture, agency or guarantee of future work.

The nature of your relationship with MPG is determined by the relevant employment contract, apprenticeship agreement, subcontract agreement, consultancy agreement or other engagement terms and by applicable law.

Use of the App does not change your employment or tax status.

MPG may update these Terms from time to time to reflect:

• changes to the App;
• new features or integrations;
• changes to MPG’s working practices;
• legal or regulatory requirements; or
• security and operational requirements.

Where changes are material, MPG will take reasonable steps to notify users.

The updated Terms will take effect from the date stated at the beginning of the document.

Continued use of the App after the updated Terms take effect constitutes acceptance of those updated Terms.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect.

A delay or failure by MPG to enforce any provision does not waive MPG’s right to enforce it later.

You may not transfer your rights or obligations under these Terms to another person without MPG’s written permission.

MPG may transfer its rights and obligations in connection with a business reorganisation, sale, transfer or restructuring, provided this does not unlawfully reduce your rights.

These Terms, together with the Privacy Policy and any applicable written engagement agreement, contain the relevant terms governing your use of the App.

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction, except where applicable law requires otherwise.
